These Terms and Conditions govern your use of the Andina website and the advisory services we provide. Please read them carefully. By engaging our services or using this website, you agree to the terms set out below.
1. Definitions
- "Andina" / "we" / "us" / "our" — refers to Andina, a business consulting firm registered in Colombia, with offices at Carrera 8 #21-70, Pereira, Risaralda.
- "Client" / "you" — refers to any individual or legal entity that engages our advisory services or uses this website.
- "Services" — refers to the advisory engagements offered by Andina, including the Expansion Read, Growth Companion, and Market Study, as described on our website and in individual service agreements.
- "Agreement" — refers to these Terms and Conditions together with any service-specific scope document agreed in writing between the parties.
- "Deliverables" — refers to written outputs produced by Andina in the course of an engagement, including summaries, roadmaps, and assessment reports.
2. Acceptance of Terms
By submitting an inquiry through our website, signing a service agreement, or participating in an advisory session, you confirm that:
- You are 18 years of age or older, or are acting on behalf of a legal entity authorized to enter into binding agreements.
- You have the authority to bind yourself or your organization to these terms.
- You have read and understood these Terms and Conditions.
3. Service Description
Andina provides advisory services focused on regional expansion within Colombia. Our three core offerings are:
- Expansion Read — a single advisory session with a follow-up call and written summary, completed within approximately two weeks.
- Growth Companion — a three-month advisory rhythm comprising monthly sessions, between-session support, and a closing written summary.
- Market Study — a five-week assessment including market review, leadership working session, and written roadmap.
All services are delivered in English or Spanish as agreed at the time of engagement. Services are available to businesses operating in or considering expansion within Colombia.
4. Client Responsibilities
To allow us to deliver our services effectively, you agree to:
- Provide accurate, complete, and timely information relevant to your situation when requested.
- Attend scheduled sessions or give reasonable notice if unable to do so.
- Use our website and services for lawful purposes only.
- Not engage in conduct that is abusive, fraudulent, or likely to harm Andina or third parties.
5. Intellectual Property
All content on the Andina website — including text, design elements, and visual materials — is owned by or licensed to Andina and is protected under applicable Colombian intellectual property law.
Deliverables produced for you during an engagement are provided for your internal business use. You may share them within your organization and with professional advisors acting on your behalf. You may not resell, publish, or sub-license Deliverables to third parties without our prior written consent.
Information and insights you share with us during engagements remain your property and are treated as confidential in accordance with our Privacy Policy.
6. Payment Terms
- Service fees are quoted and billed in Colombian Pesos (COP).
- Payment is due prior to commencement of each engagement unless otherwise agreed in writing.
- Accepted payment methods will be confirmed at the time of engagement.
- Cancellation: If you cancel at least five business days before the scheduled start date, you may receive a credit toward a future service. Cancellations with less than five business days' notice are non-refundable. Sessions delayed by Andina will be rescheduled at no additional cost.
7. Service Delivery Terms
- Scope, timeline, and expected deliverables are agreed before each engagement begins.
- Changes to the agreed scope require written consent from both parties and may affect the timeline and fee.
- We will endeavor to meet agreed timelines. Delays caused by the client's failure to provide required information or to attend sessions may extend delivery dates accordingly.
- All sessions may be conducted in person at our Pereira office or remotely, as mutually agreed.
8. Confidentiality
Both parties agree to treat as confidential all non-public business information exchanged during the course of an engagement. Andina will not disclose your business information to third parties except as required by law or as described in our Privacy Policy. A formal non-disclosure agreement can be arranged prior to engagement commencement upon request.
9. Disclaimers
Our advisory services are based on our professional judgment, regional knowledge, and the information you provide. We make no representation that:
- Any expansion plan, market assessment, or recommendation will lead to a specific business result.
- The information contained in Deliverables is free from error, though we take care to ensure accuracy.
- Our advice constitutes legal, accounting, or regulated financial advice. Where such specialist input is required, we will indicate this and recommend you seek appropriate professional counsel.
10. Limitation of Liability
To the extent permitted by Colombian law, Andina's total liability to you in connection with any engagement shall not exceed the fees paid by you for the specific service giving rise to the claim.
We shall not be liable for indirect, consequential, or incidental damages arising from reliance on our advice or Deliverables. We are also not liable for delays or failure to perform arising from circumstances beyond our reasonable control (force majeure), including natural disasters, strikes, or government actions.
11. Indemnification
You agree to indemnify and hold harmless Andina, its partners, and staff from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of our services, or any third-party claim arising from your actions.
12. Termination
Either party may terminate an engagement by written notice if the other party materially breaches these Terms and fails to remedy the breach within 10 business days of written notice.
Andina reserves the right to decline or discontinue services at its discretion, with a pro-rated refund of any unused prepaid fees. Upon termination, any Deliverables completed up to that point will be provided to you. Sections relating to confidentiality, intellectual property, liability, and dispute resolution survive termination.
13. Dispute Resolution
These Terms are governed by the laws of the Republic of Colombia. In the event of a dispute, the parties agree to attempt informal resolution by good-faith negotiation before initiating any formal proceedings.
If informal resolution fails, disputes shall be submitted to the jurisdiction of the competent courts of Pereira, Risaralda, Colombia, unless the parties mutually agree to refer the matter to mediation or arbitration.
14. General Provisions
- Entire agreement: These Terms, together with any signed service scope document, constitute the entire agreement between the parties regarding the services.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to a successor entity.
- Notices: Notices under these Terms should be sent to [email protected] or by post to our registered address.
15. Changes to These Terms
We may update these Terms periodically. When we do, we will revise the date at the top of this page. Changes take effect upon publication. Continued use of our website or services after changes are posted constitutes your acceptance of the updated Terms. For ongoing engagements, material changes will be communicated directly to affected clients.
